Start a business

Every formal business starts at the Corporate Affairs Commission (CAC). Choose the structure that fits: a business name for a sole trader or partnership, a limited company when you want the business to be separate from its owners, or incorporated trustees for an NGO, association or religious body.

Registration is done online. Each owner or director needs valid identification, and Nigerian owners are asked for their National Identification Number (NIN). A private company can be formed by one person. Companies with foreign shareholders have extra requirements, covered under Foreign investors below.

A business name registered with the CAC is not a trademark. If your name or logo matters to you, register it with the Trademarks Registry as well.

What it does: Registers business names, companies and incorporated trustees, and keeps the public register of them.
Who needs it: Everyone starting a formal business, NGO or association.
When to contact it: First, before you open a business bank account. Then every year for annual returns, and whenever directors, owners or the address change.

What it does: Issues the National Identification Number (NIN).
Who needs it: Nigerian owners and directors, who are asked for a NIN during registration and when opening accounts.

What it does: Registers trademarks (names and logos), patents (inventions) and industrial designs.

What it does: Registers and supervises designated non-financial businesses under the anti-money-laundering rules.

When to contact it: After CAC registration and before opening a bank account, because banks ask these businesses for the SCUML certificate.

Tax and statutory obligations

Every business needs a Tax ID. From 1 January 2026 it replaced the old TIN. Companies pay federal taxes, including company income tax and VAT, to the Nigeria Revenue Service, which replaced FIRS.

Staff PAYE, and the personal income tax of a sole proprietor or partner, go to the Internal Revenue Service of the state where the person lives or works. Those are listed under State-level requirements.

Once you employ people you also take on pension, employee compensation, training and health insurance obligations. Companies file annual returns with the CAC every year, whether or not they traded.

Foreign investors

A foreigner can own a Nigerian company, in most sectors fully. The usual order is: incorporate at the CAC, register with the Nigerian Investment Promotion Commission, obtain a business permit, and get an expatriate quota before employing foreign staff.

Companies with foreign shareholders must meet a higher minimum share capital than Nigerian-owned ones. Confirm the current figure with the CAC and the Ministry of Interior before you incorporate.

Bring your capital in through a Nigerian bank and ask the bank for a Certificate of Capital Importation. It is what later allows you to send dividends and capital back out.

The Nigeria Trade Information Portal is the official step-by-step guide: choose a product and it shows the procedure, documents and agencies involved in importing or exporting it.

Exporters register with the Nigerian Export Promotion Council. Regulated goods also need clearance from their regulator, such as NAFDAC for food and drugs, SON for product standards, and the Agricultural Quarantine Service for farm produce. Those are listed under Licences and regulators.
